Terms of Service

These Terms of Service ("Terms") are an agreement between you and BitUnion L.L.C-FZ, a free-zone company registered in Dubai, United Arab Emirates, trading as Latenta ("Latenta", "we", "us"), and govern your use of the Latenta website, applications, and services (together, the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Latenta is a node-graph editor for composing AI image, text, and video workflows. You build graphs from semantic capability nodes; when you run a node, we fulfil it through third-party AI providers on your behalf and return the result. The Service is provided on an ongoing, subscription and usage basis as described in these Terms and on our pricing page.

2. Accounts

You sign in with your email address using a magic link — we email you a single-use link instead of asking for a password. You are responsible for keeping access to your email account secure, and for all activity that happens under your account. You must be old enough to form a binding contract in your jurisdiction to use the Service. Provide accurate information and keep it current.

3. Acceptable use

You agree not to use the Service to:

generate, upload, or distribute content that is unlawful, infringing, defamatory, or that violates the rights of others;
create sexually explicit, pornographic, or lewd material — and never sexual content involving minors, or non-consensual, harassing, or abusive material;
generate or edit any person's face, voice, or likeness without that person's explicit consent, including face swaps, deepfakes, and voice impersonation;
impersonate a real person or organisation, or create deceptive media intended to defraud or mislead;
make automated decisions about people, or profile, score, or categorise individuals, using outputs of the Service;
attempt to reverse-engineer, resell, or gain unauthorised access to the Service, its underlying models, or provider credentials;
bypass usage limits, disrupt the Service, or use it to build a competing model or dataset in violation of provider terms; or
violate the acceptable-use or content policies of the AI providers that fulfil your runs.

We may suspend or remove content and accounts that violate this section.

4. Your content

You retain ownership of the workflows you build and the inputs you provide. Subject to the rights of the underlying AI providers and applicable law, outputs generated from your runs are yours to use. You grant us the limited licence needed to host, process, and transmit your content in order to operate the Service (for example, storing your workflows and generated media, and sending inputs to providers to fulfil a run). You are responsible for ensuring you have the rights to any content you upload.

5. Tokens & subscriptions

Running capability nodes consumes tokens. Each plan includes a monthly token allowance; token costs per run and current plan prices are listed on the pricing page.

Monthly reset. Plan tokens reset at the start of each billing period and do not roll over — unused plan tokens are lost at reset.
Top-ups persist. Separately purchased top-up token packs do not expire and carry over between periods. Plan tokens are spent first; top-up tokens are used once plan tokens are exhausted.
Renewal. Paid subscriptions renew automatically each period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current paid period, and you keep access until then.
No cash value. Tokens have no cash value, are not transferable, and cannot be exchanged except as required by law or as described in our refund policy.

6. Order process, payment & taxes

Our order process and payments are handled by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all orders and is an authorized reseller of the Service. Paddle provides customer service for billing enquiries and handles payment processing, invoicing, and the calculation and remittance of applicable sales tax and VAT.

Prices are shown exclusive of taxes unless stated otherwise; the tax due is determined and added by Paddle at checkout based on your location. Your purchase is also subject to Paddle's Buyer Terms. By completing a purchase you authorise Paddle to charge your chosen payment method for the amount shown, including recurring charges for subscriptions until you cancel.

7. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated output may be inaccurate, offensive, or unsuitable for your purposes; you are responsible for reviewing outputs before relying on or publishing them. We do not warrant that the Service will be uninterrupted, error-free, or secure.

8. Limitation of liability

To the maximum extent permitted by law, Latenta and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or fifty US dollars (US$50). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. On termination your right to use the Service ends; sections that by their nature should survive (including content licences you have granted, disclaimers, and limitation of liability) will survive.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in the app before they take effect. Continuing to use the Service after changes take effect means you accept the revised Terms.

11. Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to their conflict-of-laws rules, and any dispute will be subject to the courts of Dubai, U.A.E., unless applicable consumer-protection law gives you the right to bring proceedings elsewhere.
